GENERAL CONDITIONS OF SALE OF THE A3TS

The present terms and conditions of sale are written in French and English, which are the only authentic versions.  

Article 1: Definitions 

All terms whose initials appear in capital letters have the meanings attributed to them hereinafter: 

  • "AT3S" or the "Association": Refers to the heat treatment and surface treatment association, a "1901 law" association, whose SIREN number is 408 082 360, whose head office is located at 71 rue Lafayette in Paris (75009), represented by Véronique Vitry in her capacity as President - VAT No.: FR04408082 - E-mail address: a3ts@a3ts.org - Tel.: 01.45.26.22.35.

    A3TS aims to disseminate scientific and technical knowledge in the field of materials processing, namely heat treatment and surface treatment.

  • "Membership Form": Refers to the form completed by individuals or legal entities for the purpose of joining A3TS.

  • "GTC" or "General Terms and Conditions of Sale": Refers to the present general terms and conditions of sale which apply to contractual relations between A3TS, on the one hand, and Members, Customers and Speakers, on the other. 

  • "Customer": Refers to any individual, A3TS Member or not, Speaker or not, who registers for an Event.

  • "Consumer Customer": Refers to the Customer acting for purposes that do not fall within the scope of his professional, commercial or liberal activity, as defined in the French Consumer Code.

  • "Professional Customer": Refers to the Customer acting for purposes that fall within the scope of its professional, commercial or liberal activity.

  • "Speaker": Refers to the Customer who registers for an Event in order to give a talk.

  • "Congressist": Refers to the Customer who registers for an Event with a view to attending it.

  • "Contract": Refers to these General Terms and Conditions of Sale, together with the Membership Application Form, the Order Summary, the Speakers' Charter (for Speakers only) and any document filled in by Members, Customers and Speakers in order to benefit from the Services. 

  • "Data": Refers to any information, including Personal Data, communicated by Customers, Members and Speakers in connection with the provision of the Services.  

  •  "Personal Data ": Refers to personal data within the meaning of Law No. 78-17 of January 6, 1978 relating to data processing, files and freedoms and European Regulation No. 2016/679 of the European Parliament and of the Council of April 27, 2016 on the protection of individuals with regard to the processing of personal data and on the free movement of such data (RGPD), namely all data allowing, in any form whatsoever, directly or indirectly, the identification of the natural persons to whom they apply, processed by A3TS according to the terms specified in Article 11 of the GTC and within the Privacy Policy. 

  • " Personal Space " refers to the personal space allocated to the Customer, Member and Speaker on the Site, once their account has been created.

  • "Event": Refers to events organized by A3TS, such as congresses, conferences, trade fairs and technical days.

  • "Confidential Information ": Refers to information, knowledge, data, content of documents, documentation, contracts, methods, files, sketches, drawings, inventions, software, source codes, developments, technologies, processes, formulas, whatever the medium, whatever the form and nature, in particular of a commercial, legal, administrative, accounting, organizational, logistical, IT or artistic nature, transmitted by one of the Parties to the other, orally or in writing, in the context of the performance of the Contract or of which the Parties or their personnel may have had knowledge or access in the context of the provision of the Services.  

  • "Member": Refers to natural persons ("adherent members", "teacher/retired members" and "student/temporarily unemployed members") and legal entities ("partner members" and "benefactor members") who have joined A3TS.

  • "Consumer Member": Refers to the Member acting for purposes that do not fall within the scope of his or her professional, commercial or liberal activity, within the meaning of the French Consumer Code.

  • "Professional Member": Refers to the Member acting for purposes that fall within the scope of his or her professional, commercial or liberal activity.

  • "Privacy Policy": Refers to the privacy policy accessible on the Site via the "Privacy Policy" section and accepted by the Customer, the Member and the Speaker prior to validation of the order for Services. 

  • "Order Summary": Refers to the summary detailing the essential characteristics of the Services and their price.  

  • "Services": Refers to the services offered by A3TS, as described in articles 3 and 4 of the GCS.  

  • "Site" : Refers individually or collectively to the https://www.at3s.org/ and https://www.mattris.a3ts.org/ websites, accessible from : 

    •   A computer or terminal with Internet access and Internet browsing software; 

    • A telephone terminal with access to a telecommunications network enabling access to the Internet (3G, 4G, 5G, Edge connection, etc.).  

  • "Intervention Support": Refers to any visual or written support, whatever the form (presentations, projected documents, tables, sketches, images, videos, etc.) and format (Word, Excel, PDF, Power Point, etc.), used by Speakers during their intervention as part of an Event.

 

Article 2: Purpose - Scope - Acceptance - Modifications  

2.1. The purpose of these General Terms and Conditions, which can be accessed at any time on the Site under the heading "General Terms and Conditions of Sale", is to determine the terms and conditions under which A3TS offers and performs the Services.  

2.2. The GCS apply without restriction or reservation to any order for Services by Customers, Members and Speakers, whether made from France or abroad. Consequently, the fact that an individual or a legal entity subscribes to an A3TS membership or registers for an Event on the Site implies full acceptance of the GCS.

2.3. The GCS may be subject to subsequent modifications, the applicable version being that in force on the Site at the date of subscription to the Services. The Customer, the Member and the Speaker will be informed by e-mail of any modifications to the GCS 7 (seven) days before they come into force.  

 

Article 3 - Scope of Services

 3.1. The General Terms and Conditions apply to A3TS memberships as well as to Event registrations, in accordance with the terms and conditions specified in article 4.

 3.2 They are not intended to govern the training services provided by A3TS in its capacity as a Qualiopi-certified center, which are described under the heading "Training / Discover and register" and governed by specific GTC. 

Article 4 - Subscription terms and description of Services

4.1. A3TS membership

4.1.1. To become a member of the Association, click on the "Join" tab on the www.a3ts.org website , pay the membership fee indicated according to the membership status chosen and, once your Personal Space has been created, return the duly completed Membership Form by e-mail to a3ts@a3ts.org or online by scanning the QR code. 

4.1.2. With the exception of organizations subject to public accounting rules, registration will only be definitively accepted by A3TS on receipt of payment of the corresponding fee.

4.1.3. On receipt of payment, A3TS will send the Member confirmation of membership, together with an Order Summary and the invoice.

4.1.4. Once membership has been paid for, the Member :

  • Access, from its Personal Area, to various content offered by AT3S and in particular to the Association directory, to video recordings of certain Events, to various scientific and technical publications such as A3TS Science & Technique and to the "A3TS Contacts" magazines.

  • Is listed in the A3TS directory under the contact details provided when joining.

  • Receive all A3TS communications and newsletters for the duration of membership as specified in article 4.1.67, unless otherwise requested at the e-mail address a3ts@a3ts.org.

4.1.5. Throughout the duration of his membership as specified in article 4.1.7, the Member receives all communications and newsletters from A3TS, subject to :

  • For the Professional Member, that he/she has not objected by sending a request to the e-mail address a3ts@a3ts.org; 

  • For the Consumer Member, that he/she has expressly consented to this by ticking the box " I agree to receive offers and news from AT3S by e-mail " when validating his/her subscription, it being specified that he/she may withdraw this consent at any time by clicking on the " unsubscribe " link included in each e-mail or by writing to this effect to the address a3ts@a3ts.org.

4.1.6. Membership benefits are described in greater detail, depending on the status chosen, in the "See membership benefits" section of the "Join" page at https://www.a3ts.org.

4.1.7. Membership takes effect on the date of subscription for a period running until the end of the current calendar year, i.e. until December 31st of the current calendar year. Consequently, the Member acknowledges and expressly accepts that the membership fee referred to in article 8 below is a lump sum and will not be subject to any reduction or prorating in the event of enrolment during the course of the year, even late.

4.2 Registration to Events as Congressist and Speaker :

4.2.1. Registration for the Events is carried out by sending a registration form to A3TS by e-mail at a3ts@a3ts.org, by post (71 rue Lafayette 75009 Paris) or directly online at a3ts@a3ts.org, or, for the MATTRIS by A3TS event, at www.mattris.a3ts.org, by clicking on the "I reserve my badge" tab, choosing the registration formula according to its status, filling in the registration form and proceeding with payment.

4.2.2. On receipt of payment, A3TS will send the Congress participant and the Customer confirmation of their registration, together with an Order Summary and the invoice.

4.2.3. With the exception of organizations subject to public accounting rules, registration will only be definitively accepted by A3TS on receipt of payment of the corresponding fee.

4.2.4. The program of the Event, its date, duration, location, price and any other special conditions are indicated on the Site www.mattris.a3ts.org, in the "Ticket Selection" section, or on the Event's page on the Site a3ts@a3ts.org.

4.2.5. Participation in an Event is subject to availability.

4.3. Specific terms and conditions for registration to Events as a Speaker:

4.3.1. Once the registration has been validated, A3TS will send the Speaker a confirmation e-mail, specifying the full programme of the Event.

4.3.2. The Speaker also undertakes to send A3TS, no later than thirty (30) days prior to the date of the Event, by e-mail to the following address: a3ts@a3ts.org, a short biographical note as well as its Speaking Materials.

4.3.3. In general, the Speaker undertakes to comply with all the terms of the "Speakers' Charter", which will be provided to him/her by A3TS and of which he/she declares that he/she is fully aware.

 

Article 5 - Cancellation (Events)

5.1 Cancellation at the Customer's and Speaker's initiative

5.1.1 Unless otherwise specified, cancellation requests must be sent to A3TS in writing, either by email to a3ts@a3ts.org or by post (71 rue Lafayette - 75009 Paris) no later than fifteen (15) days before the date of the Event concerned.

5.1.2 Any cancellation request respecting these conditions will give rise to a refund of the full registration fee. Failing this, this amount will remain due to A3TS as a fixed and definitive indemnity.

5.1.3 The Speaker's absence from an Event, or its late cancellation not allowing AT3S A3TS to replace it, will not give rise to any reimbursement, it being further specified that A3TS reserves, in this case, the possibility of seeking compensation for the damage caused by this absence or cancellation.

5.2 Cancellation by A3TS

5.2.1 In the event that A3TS is forced to cancel the Event for reasons other than force majeure, A3TS will, at the option of the Customer and the Speaker, refund the registration fee or, if the Event is postponed to a later date, retain the registration fee in consideration of the registration for the postponed Event.

5.2.2 In the event that A3TS is forced to cancel the Event due to force majeure, the Event will be postponed to a later date and the registration fee paid by the Customer will be retained in full by A3TS. Should A3TS be unable to postpone the Event or should the Client be unable to attend on the new date, A3TS will reimburse the Client a fixed amount of 85% of the registration fee, the remaining 15% being retained by A3TS to cover part of the expenses incurred in the preparation of the Event.

Any national or international sanitary, climatic, economic, political or social situation, not reasonably foreseeable at the time the Event is communicated to Customers, beyond the control of A3TS, which makes it impossible to perform the Contract or which entails risks of disturbances or disorders likely to seriously affect the organization and smooth running of the Event, or the safety of goods and persons, shall constitute cases of force majeure justifying the cancellation or postponement of an Event at any time. The coronavirus epidemic declared by the national health authorities is one of the cases of force majeure referred to herein.

5.3 Right of withdrawal (Consumer Customers and Consumer Members):  

5.3.1 Existence of the right of withdrawal:

If the Consumer Customer and Consumer Member meet the conditions set out in articles L.221-18 et seq. of the French Consumer Code, they have a right of withdrawal which they may exercise within 14 (fourteen) days of the date of validation of the order for the Services, in accordance with the conditions set out in article 5.3.3. If this period expires on a Saturday, Sunday or public holiday, it is extended to the next working day.

5.3.2 Exception to the right of withdrawal:

5.3.1.1 The Consumer Customer and the Consumer Member expressly accept that the Services may begin before the end of the 14 (fourteen) day withdrawal period from their order and that, in this event, the provisions of articles 5.3.1.2 and 5.3.1.3 shall apply.

5.3.1.2 Services fully executed before expiry of the withdrawal period: in accordance with article L 221-28 1° of the French Consumer Code, in the event that the Services have been fully executed before expiry of the 14 (fourteen) day period referred to in article 5.3.1, the Consumer Customer and the Consumer Member may no longer exercise their right of withdrawal, which they expressly accept.

5.3.1.3 Services partially executed before expiry of the withdrawal period: in accordance with article L221-25 paragraph 2 of the French Consumer Code, in the event that only part of the Services has been executed before expiry of the 14 (fourteen) day period referred to in article 5.3.1, the Consumer Customer and the Consumer Member will remain liable for the amount corresponding to the price of the Services executed until receipt by A3TS of their decision to withdraw, which they expressly accept.

5.3.3 How to exercise the right of withdrawal:

To exercise their right of withdrawal, Consumer Customers and Consumer Members must unambiguously express their wish to withdraw, without having to justify their decision, by sending the duly completed form attached in Appendix 1 of these GTS, or any other equivalent declaration, by e-mail to a3ts@a3ts.org or by post (71 rue Lafayette - 75009 Paris) before the aforementioned 14 (fourteen) day period.

Article 6: A3TS commitments

6.1 A3TS undertakes to make every effort to provide the Services in such a way as to best meet the needs of Customers, Members and Speakers, within the framework of an obligation of means.

6.2 The Services are provided in accordance with the provisions of these GCS and the practices of the profession.

6.3 A3TS undertakes to make the Site available to Customers, Members and Speakers and to use its best efforts to ensure its accessibility and proper operation 24 hours a day, 7 days a week, but shall not be liable for any related unavailability or slowdown of the Site:

  • A case of force majeure or a decision by the authorities ;

  • Abnormal or fraudulent use of the Site or use that does not comply with the GTC;

  •  The technical hazards inherent in the Internet, including the propagation of viruses via this medium, and any access interruptions that may result, as well as any damage caused by the failure of telecommunications operators, the electricity supplier or any service provider involved in the execution of the GTC;

  • Due to maintenance work or work necessary for the proper operation of the Site ;

  • Changes in current regulations or technologies of any kind, particularly those relating to navigation systems.

 

Article 7: Commitments of the Customer, Member and Speaker 

7.1. The Customer, the Member and the Lecturer undertake to provide A3TS with all the Data and means that AT3S deems necessary for the provision of the Services and in particular to provide truthful and complete information on the membership forms and registration forms, it being specified that they alone shall be liable for the consequences resulting from their inaccuracy.

7.2. The Customer, Member and Lecturer undertake to use the Services fairly and in accordance with their intended purpose.

7.3. The Customer, the Member and the Speaker undertake to inform AT3S, without delay, of any difficulties they may encounter in the provision of the Services.

7.4. In general, the Customer, the Member and the Speaker undertake to adopt a professional attitude, to respect the laws and regulations in force, the terms of the Contract as well as any special conditions that may be communicated to them when ordering Services.

 

Article 8 - Financial conditions

8.1 Prices

8.1.1 The price of membership and registration for Events are indicated on the Site, under the corresponding headings.

8.1.2 Amounts are quoted exclusive of VAT, the VAT applicable being that in force on the day the Services are subscribed to.

8.1.3 A3TS reserves the right to modify prices at any time but undertakes to apply the rates in force on the day the Services are ordered without the possibility of retroactive reimbursement in the event of a subsequent price reduction.

8.1.4 Computerized registers, kept in A3TS's computer systems under reasonable security conditions, will be considered as proof of orders and payments made.  

8.2 Terms of payment

8.2.1 With the exception of organizations subject to public accounting rules, the price of Services not subscribed to online on the Site is payable on receipt of the corresponding invoice.

8.2.2 The Customer, Member and Lecturer may pay for their order by the following means:

  • By credit card, on the Site ;  

  • By cheque payable to A3TS (71 rue Lafayette - 75009 Paris), quoting order reference ;

  • By bank transfer to the bank details provided by AT3S, giving the order references.

The Customer, Member and Lecturer guarantee that they have the necessary authorizations to use the method of payment chosen to subscribe to the Services.

8.2.3 Any delay in payment will result in the application of late payment interest of 3 (three) times the legal interest rate, payable automatically per day of delay until full payment, as well as a fixed indemnity for collection costs of 40 (forty) euros.

 8.2.4 A3TS also reserves the right to suspend the membership of Members or to refuse access to Events to Customers and Speakers, in the event of non-payment or partial payment, with the exception of personnel of organisations subject to public accounting regulations.

 

Article 9 - Intellectual property

9.1 A3TS intellectual property:

9.1.1 The Contract does not transfer any intellectual property rights belonging to A3TS to the Customer, the Member or the Lecturer, in particular with regard to the Site, its logos and any media or content that may be communicated to them or to which they may have access in connection with the performance of the Services. 

9.1.2 Consequently and unless otherwise agreed by A3TS, the Customer, the Member and the Lecturer shall refrain from any act of reproduction or representation of these elements, in whole or in part, in any form and for any purpose whatsoever.

9.2 Speaker's intellectual property:

9.2.1 Unless otherwise agreed by the Speaker notified in writing to A3TS, the Speaker authorizes A3TS to reproduce, represent and adapt its Intervention Materials on the websites www.a3ts.org, www.mattris.at3s.org, its LinkedIn account and other social networks determined by mutual agreement with A3TS.

9.2.2 The authorization stipulated in article 9.2.1 includes in particular :

  • The right to reproduce or cause to be reproduced all or part of the Intervention Media, in any format, on any current or future printed, graphic or digital media, by any current or future process and in particular any process enabling digitized information to be stored temporarily or permanently, enabling it to be downloaded and/or consulted off-line and on-line, via a remote and/or local digital or analog connection;

  • The right to represent or have represented all or part of the Intervention Media, in any format, by any current or future means of communication to the public, on the A3TS Sites and social networks;

  • The right to adapt or have adapted all or part of the Intervention Media, in particular by translation into any language, and to reproduce and represent these translations on the aforementioned media;

9.2.3 This authorization is granted for the entire world and for the legal duration of intellectual property under French and foreign laws and international conventions, present and future, including any extensions that may be made to this duration.

9.2.4 The Association undertakes to associate the name of the Lecturer with its Speaking Materials.

9.2.5 The Speaker acknowledges that his or her contribution to the Event, and consequently the preparation of the Speaking Materials, is part of a process intended to enrich the information provided to A3TS Customers and Members and also enables him or her to make himself or herself known to professionals in his or her field.

As a result of the foregoing, and in accordance with the provisions of article L. 122-7 paragraph 1 of the French Intellectual Property Code, the Author expressly accepts, without the slightest reservation, that this authorization to use the Intervention Media is granted free of charge, and consequently waives any other consideration in this regard.

9.2.6 The Speaker guarantees A3TS full and peaceful enjoyment of the intellectual property rights attached to the Intervention Media and in particular that it :

  • Authorized to grant this authorization ;

  • Has not introduced into the Intervention Media any reminiscence or element likely to prejudice the rights or interests of a third party, or likely to provide grounds for legal action;

  • Has not done or will not do anything likely to prevent or hinder the full enjoyment by A3TS of the rights conferred by this authorization.

In this respect, the Speaker guarantees A3TS against any action, claim, demand or opposition from any third party claiming to have rights over the Intervention Media or claiming unfair and/or parasitic competition as a result of their use.   

9.2.7 A3TS shall be the sole judge of whether or not to publish the Intervention Media on the Site and/or on its social networks and, in the event of publication, of the date, location and general terms and conditions of their online publication.

Article 10 - Image rights, speaker's voice and name

10.1. Unless otherwise agreed by the Speaker notified in writing to A3TS, the Speaker authorizes A3TS to: 

  •  Videographically and/or photographically record its image and voice during its participation in the Event. 

  • Exploit, directly or through a third party, in full or in excerpts, these recordings on the exploitation media mentioned in article 9.2.1 above.

  • Edit these recordings;

  • Include a transcript of the speaker's speech, subtitled in French and/or translated into any language.

10.2. The authorization stipulated in article 10.1 is granted worldwide and for a period of 15 years from the date of registration for the Event concerned.

10.3 In view of the visibility afforded to the Speaker by his participation in the Event and by the broadcasting of his recording under the conditions referred to above, he expressly consents to this authorization being granted without further consideration, in particular financial consideration.

10.4. A3TS shall be the sole judge of whether or not to publish these recordings on the Site and/or on its social networks and, in the event of publication, of the date, location and general terms and conditions of their online publication.

Article 11 - Reference - Social networks  

The Speaker undertakes to communicate on his intervention within the framework of the Event according to the methods, deadlines and media agreed with A3TS.

Article 12 - Personal data

12.1. For the purposes of ordering and executing the Services, A3TS is required to process Personal Data concerning the Customer, the Member and the Lecturer. 

12.2 This Personal Data is processed in accordance with the Privacy Policy accessible on the Site under the heading "Privacy Policy" or via the following link https://www.a3ts.org/politique-de-confidentialite, which the Customer, Member and Lecturer declare that they accept expressly and without reservation by validating their order.  

 

Article 13 - Liability

13.1. Principle of liability: The Association may not be held liable for causes beyond its control, and in particular for damages resulting from : 

  • The Customer's failure to comply with the terms of the Contract and/or the Seller's instructions;

  • The unforeseeable and insurmountable act of a third party;

  • Force majeure.

13.2 Exclusions and maximum liability (Speakers, Professional Customers and Professional Members):

13.2.1. Should the Association be held liable, Speakers, Professional Customers and Professional Members may only be compensated for direct damages, to the exclusion of indirect damages such as loss of profit or sales, lost profits, loss of clientele, commercial loss, loss of information, loss of opportunity or loss of time.

13.2.2. In any event, the amount of damages for which the Association may be held liable shall not exceed, for all losses combined, the price of the Services deemed to be defective.

Article 14 - Termination

Any serious breach by a Party of any of its obligations under the Contract, not remedied within 15 (fifteen) days of the sending of a registered letter with acknowledgement of receipt, entitles the other Party to unilaterally invoke its termination by operation of law, without prejudice to any damages to which it may be entitled, in accordance with article 1224 of the French Civil Code.

Article 15 - Confidentiality

15.1 Each of the Parties undertakes to keep the Confidential Information confidential and not to disclose it, in whole or in part, to third parties without the prior express written consent of the other Party.

15.2. Each of the Parties also undertakes to :

  • Use Confidential Information only for the purpose of performing the Contract;

  • To pass on to its staff and any subcontractors and agents only that part of the Confidential Information which is strictly necessary, on condition that it imposes on them the same obligation of confidentiality as that which is the subject of the present article and that it guarantees its respect.

15.3. The obligations of this Article shall remain in force notwithstanding the expiry or termination of the Contract and for as long after its term as the Confidential Information has not fallen into the public domain.

 

Article 16 - Non-waiver

The fact that one of the Parties does not claim from the other Party a breach of any of the obligations referred to in these GCS shall not be interpreted for the future as a waiver of the obligation in question.

 

Article 17 - Applicable law - Settlement of disputes

17.1. The Contract shall be governed by and construed in accordance with French law.

17.2. In the event of any dispute or difference arising, in particular concerning its validity, interpretation and/or performance, the Parties agree to use their best efforts to reach an amicable agreement.

17.3. The Consumer Customer and the Consumer Member are also informed that they may have recourse to conventional mediation by submitting their complaint :

17.4. Any disputes that cannot be settled amicably between the Parties shall be submitted to the competent courts.

Article 18: Pre-contractual information

Consumer Customers and Consumer Members acknowledge that, prior to ordering the Services, they have been provided, in a legible and comprehensible manner, with all the information listed in articles L.221-5 of the French Consumer Code et seq, and in particular with the following information:

  • The essential characteristics of the Services ;

  •   The price of Services ;

  •   Service delivery times;

  •   Information relating to the Association's identity, postal, telephone and electronic contact details and activities;

  •   The fact that the provision of Services is not subject to the specific provisions relating to legal warranties of conformity;

  •   Site functionalities ;

  •   The possibility of resorting to conventional mediation in the event of a dispute ;

  • Payment methods accepted.

GENERAL CONDITIONS OF USE OF THE A3TS.ORG AND MATTRIS.A3TS.ORG WEBSITES

1. definitions

When the terms below are capitalized, reference is made to their definition.

  • Administrator: person, department or company in charge of the administration of the Site, its operation and the implementation of the means necessary for its functioning, acting on the instructions of the A3TS.

  • Content: all information, elements and/or media, whatever the format, intended to be broadcast on the Site.

  • Operation: maintenance in operational conditions of the Site.

  • Incident: unplanned interruption or degradation of the quality of a computer service provided online on the Site.

  • Parties: means both the Users of the Site and A3TS

  • Event: event organized by A3TS

  • Services: all the services rendered online by A3TS to the Users through the Site.

  • Site: set of structured documents, called "web pages" composed of content of various types and formats (text, image, sound, video, etc.), animated by software and stored on a server connected to the Internet network and constituting the technical support of the url address mentioned in the legal notice above.

  • A3TS: association referred to as the publisher of the Site in the legal notice of the Site.

  • User: any natural person legitimately connected to the Site.

2 Purpose of the General Terms and Conditions of Use

The purpose of these "General Terms of Use" (hereinafter "GTU") is to define the conditions under which any User may use the Services provided by A3TS via the Site.

3. effective date - duration

These TOS apply to all Users of the Site.

4. enforceability of the general terms and conditions of use

The present Terms and Conditions of Use may be modified by A3TS whenever it deems it necessary, which the User expressly accepts in advance. A3TS will put on line and make accessible on the Site any new version of the General Conditions of Use.

5 User's responsibility

  • Method of proof

In their relations, the Parties undertake to correspond, subject to particular cases involving the issue of a registered letter with acknowledgement of receipt, by electronic mail. Any e-mail sent shall constitute an acceptable mode of proof for the establishment of all facts, acts and actions of each of them.

  • Limitation of liability

No limitation of liability or warranty is granted to the User in respect of any breach of any of its obligations under these Terms and Conditions of Use.

Consequently, the User will be responsible for any damage, including direct, indirect, consequential, special or incidental, physical and/or moral, material and/or immaterial, that he/she may cause to other Parties or third parties through the use of the Services or the connection to the Site.

A3TS uses its best efforts to ensure the accuracy of the information published on the Site. However, it is the sole responsibility of the Users to check the information published, A3TS does not undertake any guarantee in this respect. A3TS cannot be held responsible in case of inaccuracy or incompleteness of any information on the Site.

  • No waiver

The fact that A3TS does not claim the application of any clause of these GCU or tacitly acquiesces to its non-performance, whether permanently or temporarily, shall not be interpreted as a waiver by A3TS of its rights arising from the said clause or its subsequent performance.

  • Failure to comply with these T&Cs

Any contrary use of the Site and its functionalities, contrary to their object and purpose, is strictly forbidden and constitutes a breach of these GCU and as such is likely to result in the suspension of the Visitor account relating to the User, either temporarily or permanently, at the discretion of A3TS.

6. intellectual property

A3TS is the exclusive owner of all intellectual property rights present on the Site and in particular of the rights of use, display, exploitation, reproduction, representation, adaptation, translation relating to any object composing the Site, including the graphic charters, titles, forms, plans of the Site, texts, articles, analyses and writings, documentations, photographs, images, videos or any other informational and/or downloadable contents, as well as the trademarks and logos put on line by A3TS.

The Site as well as its Content are protected by French law on copyright and related rights (articles L.122-4 and following of the Intellectual Property Code), which prohibit the total or partial reproduction, without the consent of A3TS, of these various constituent elements.

Therefore, the User undertakes to respect the copyrights, trademark rights and rights of the database producer, each User acknowledging that the databases constituted by the A3TS are its exclusive property.

The A3TS only grants the User a simple right of private, non-collective and non-exclusive use of all the content published on the Site as well as an authorisation to reproduce it in digital form on the computer used to consult the Site for the purpose of viewing the pages consulted by the Internet user's browser.

The User has no right to transfer or assign the information obtained from the Site and is prohibited from creating any derivative work from the Content of the Site.

The Site and its components constitute a work protected under intellectual property. Any representation, reproduction, modification, transmission, translation or more generally any exploitation of the Site and its technical or graphic components, are strictly prohibited without the prior authorization of A3TS.

The provision of the Services does not imply any transfer or concession of any of the intellectual property rights, with the exception of the right, for a User, to use the Services provided by A3TS online from the Site, within the limits provided for in the present GCU, in the GTCs and, if applicable, in the contract that the User may have with A3TS.

Any violation of this clause will be considered an act of infringement and may result in civil and/or criminal proceedings in accordance with the law.

The use of hypertext links to and from the Site is also subject to the prior and express authorisation of A3TS, the user being able to obtain authorisation by e-mail from the webmaster.

7. right to use the online services

The User undertakes to provide accurate information when registering and during any online formality, as this information is used for the proper functioning of the Site and the proper execution of the Services.

The User undertakes not to create a false identity that could mislead the Administrator or third parties.

8. online services

A3TS provides or is likely to provide through the Site the following services to the User:

- Consultation of various contents and information;

- Use of forms to contact A3TS;

- Use of transactional features: membership and event registration. These transactional features are subject to specific conditions.

9. system requirements

In order to properly use the Site and its functionalities, all Users must have software that is regularly updated by the publishers.

The pages of the Site are responsive and therefore adapt to all screen resolutions, but a minimum screen resolution of 1280 x 1024 pixels is recommended.

The Administrator does not guarantee the transfer, storage or printing of the information posted on the Website from or to the User's computer system or station.

The Administrator shall endeavour to implement proven technical devices capable of fulfilling the expected functionalities of the Site. However, no obligation of result can be subscribed by the A3TS in this respect for the benefit of the Users, as regards the security and the durability of the information put online, in particular because of the hazards related to the use and the functioning of the open networks such as the Internet network.

In order to satisfy the needs of the Users or to improve the functioning of the Site, A3TS may develop its functionalities.

The operation of the Site may be temporarily interrupted by decision of the Administrator for maintenance or security purposes. No interruption or slowdown in the operation of the Site may give rise to any claim of any kind whatsoever, nor a fortiori to compensation, particularly in the event of loss of connections, data or information of any kind whatsoever.

The use of the Site by Users may result in the deposit of "cookies". These "cookies" are used in particular to improve the user experience, to collect anonymous statistics and for subsequent advertising retargeting. Each User can refuse the registration of these "cookies" on his or her computer by choosing the appropriate option on his or her browser. The User is invited to refer to the page of the Site "Use of cookies".

10. use of the site in accordance with the law

All Users undertake to use the Site and its functionalities without attempting to bypass the technical security and protection devices. They undertake not to disrupt or paralyse the operation of the Site.

The User recognized as being responsible for the infection of all or part of the Site by viruses, worms, Trojan horses, logic bombs or any other disruptive technical device, undertakes to assume all the consequences, in particular financial, with regard to A3TS or any third party who may be the victim.

In the event of fraudulent or unlawful use of the Site by the User, the User undertakes to compensate the Administrator for any damage he/she may suffer as a result.

The A3TS can decide to block the diffusion or to proceed to the deletion of any Content put online and which would contravene:

- the laws and regulations of French law, international treaties, good morals;

- the proper functioning of the Site;

- the legitimate interests of other Users or third parties;

- to the image, reputation and interests of A3TS, its shareholders, subsidiaries, partners and customers.

The A3TS will not be held responsible or liable for any compensation to anyone.

11. claims

In order to be processed, any complaint concerning the operation of the Site, its content or any other matter must be sent by e-mail and by registered letter with acknowledgement of receipt to A3TS. No action will be taken on complaints that do not come from a duly identified person and whose contact details are not specified.

12. limitation of liability

No direct or indirect prejudice, in particular commercial or financial (loss of turnover, loss of gross margin, loss of opportunity), no image prejudice, can be compensated by A3TS.

13. privacy

In accordance with the principle of business secrecy, the Parties agree to maintain the utmost discretion regarding all information relating to the organization of the Online Services, the content of the Site and their online relationship.

14. amicable procedure

Any dispute relating to the interpretation and/or performance of these Terms and Conditions of Use shall, to the extent possible, be settled by amicable negotiation between the Parties, which A3TS shall use its best efforts to facilitate.

After a period of 30 days and in the absence of an amicable solution, the Parties shall have the right to bring the matter before the competent courts.

By mutual agreement of the Parties, this provision shall not preclude the institution of any emergency proceedings, whether on petition or in summary proceedings.

15. grant of jurisdiction

In the event of failure of the amicable procedure and in the presence of any dispute, jurisdiction is expressly attributed to the courts of Paris, notwithstanding multiple defendants or guarantee appeals, even for emergency procedures or conservatory procedures, in summary proceedings or by petition, as well as for any request based on the provisions of Article L.442-6 of the Commercial Code.

16 Applicable law - Contractual language

The TOS of the Site are governed by French law, regardless of the nationality of the User.

The language of reading, understanding and interpretation of the TOS is the French language.
